One of the main benefits is that you can test and gradually migrate from one version of LANDESK to another while maintaining operational integrity of both versions of LANDESK. If you discover an issue with the newer version of LANDESK you can stop the migration and try to remediate the issue. If the issue is too large you can migrate them back to the legacy environment. As Mark and David have indicated you can also utilize new OS/DB/Hardware Technologies. Near the end you could use the certs from the legacy environment on the new environment and change DNS to point to the new server. This way the older clients will report to the new server and you can upgrade the client. The down side of this is that you will have to provide additional hardware, and will have to maintain two environments (patching, maint, etc...) until fully migrated.
